We have hit a point where we have five workstreams. I could probably put a qualifier on the front like, “main” or “core” workstreams as these workstreams have now come to include, at times, several smaller sub-workstreams from within them. I have a hypothesis that multi-sub-workstream structure is actually bad for governance, outcomes and accountability across the DAO as a whole. I would love to open the discussion on how others feels and if they have relevant experience from other DAOs (or opinions from those DAOs) on if my hypothesis is true or false.
Here is a quick breakdown for those less familiar. Within the five workstreams, there are potential “sub-workstreams” from my perspective:
<ol>
<li>DAO Ops has two potential sub-workstreams: community experience and operations</li>
<li>FDD has three potential sub-workstreams: sybil, ground control, Grants Investigation Agency</li>
<li>dGitcoin has two named sub-workstreams: dCompass and dGrants</li>
<li>MSC has two (likely more) sub-workstreams: prototypes and products</li>
<li>MMM has potentially four sub-workstreams: marketing, in-person events, Merch, Design/Memes</li>
</ol>
Here are some of the problems of this:
<ul>
<li>Workstreams have very large budgets that are hard to disambiguate which part of a workstream is being effective and which isn’t. For example, if the Operations crew in the DAO Ops workstream is not doing well, as a steward I can advocate to change that budget, but while we debate another sub-workstream is left in limbo with their fate tied to whole proposal.</li>
<li>Paying for areas of duplication is wasteful and often leads to a lack of shared learning and context</li>
<li>Workstreams may feel like defecting is cheaper and easier (ie, I don’t have to really work with the marketing group already in MMM or their design guidelines, I will just hire my own people and do my own thing and fragment the Gitcoin brand!)</li>
<li>Teams in workstreams become so large and exclusionary, they are difficult to enter as a new comer and even more difficult to work with as their norms and culture has become their own.</li>
</ul>
I see a natural solution to this is to try and maintain smaller workstreams such that their tasks and goals are straight forward, their funding is not tied to outcomes of others and that we focus on creating a culture of coordination and shared vision and shared reliance, with peer to peer accountability.
Right now, the Gitcoin DAO sometimes feels like Microsoft in this analogy (h/t <a href="/u/owocki">@owocki</a> for sharing this)

I see Future Gitcoin as being the better model here, with a mesh network and deep coordination. With smaller workstreams, each workstream is forced to coordinate, they are forced to ensure their peers are delivering and offer feedback when they are not (ie, if one group doesn’t deliver, we stop funding them and replace them instead of just creating a duplicative one to serve that need).
Smaller workstreams offer more clarity into funding and the outcomes being delivered without tying incentives together. As a steward, smaller workstreams will make budget reviews easier to go into and digest. Asking questions and digging in wont stop funding from flowing to other workstreams that are delivering.
Smaller workstreams create a culture of sharing and collaboration instead of silo`d information or empire building. They also bring about accountability through peer reviews. they are often more approachable (joining a large group as an outside is often smaller than joining a small group)
Workstreams become experts in specific areas and are relied on by many who need that service/support.

TL;DR: This proposal outlines why a foundation is useful, how the Gitcoin Foundation is structured, and what powers the DAO has over the Gitcoin Foundation (spoiler, the DAO will have virtually all the control!). This proposal also calls for the community to execute a transfer of ownership of various Gitcoin Holdings assets, including our DAO Treasury timelock contract and public goods funding IP, to the Gitcoin Foundation.
Context: As some within the Gitcoin community know, I recently resigned from Gitcoin Holdings to fully join and focus on our DAO. While at Gitcoin Holdings, I had the opportunity to see our DAO community <a href="https://gov.gitcoin.co/t/retreat-2022-impressions/9944">coalesce 23</a> into vibrant and productive workstreams coordinating public goods funding thanks to GTC. I’m excited to now focus my energies and experience where it matters most for public goods – within our DAO!
In order for the DAO to fulfill its mission of building &amp; funding public goods, I believe we should be intentional about its corporate structure in doing so. I’ve done some groundwork on this front, and am excited by the prospect of structuring a legal entity around the DAO to better serve our mission.
I am going to <a href="https://docs.ens.domains/v/governance/the-ens-foundation">borrow some highlights 17</a> from our friends at ENS regarding why the DAO should have a legal entity:
<ol>
<li>It provides limited liability to GTC holders for the actions of the DAO. Without a legal entity, holders may be personally held liable for anything the DAO as a whole does.</li>
<li>It is capable of complying with taxation requirements - without a legal entity, the DAO and its participants may be held liable for a proportion of the DAO’s income/gains, even if they are not able to access these funds.</li>
<li>It is capable of entering into contracts with other “real world” entities, of holding assets (including IP rights), spinning up operating organizations, enforcing contracts and so forth.</li>
</ol>
Here are some high level details on <a href="https://cloudup.com/c5xGo4J5SXj">the newly formed Gitcoin Foundation 73</a>:
The Gitcoin Foundation is a Foundation Company, incorporated in the Cayman Islands. Cayman Foundation Companies can be ideal structures for nonprofit enterprises like our flagship, Gitcoin Grants (see <a href="https://www.conyers.com/wp-content/uploads/2020/12/2020-12-CAY-Article-A-Strong-Foundation-for-Philanthropy.pdf">more here 19</a>), since they do not require equity-like members and instead permit us to follow the wishes of a broader stakeholder pool (our entire community). Currently the Gitcoin Foundation has a single shareholder (a local service provider), but this “subscriber” will soon surrender its share leaving us with an ownerless foundation that can honor the wishes of our broader community.
The Gitcoin Foundation currently has three directors: myself and two independent Cayman residents. The two independent directors are directors of other DAOs and are important to ensure we maintain our status as a true Cayman Foundation Company. Currently, Directors are in charge of the day-to-day management of the Gitcoin Foundation (though much of this will fall to me in the short term).
The Gitcoin Foundation has one supervisor. The supervisor is an administrative role whose job is to make sure that the directors are doing their jobs in accordance with Cayman Islands law. The position of supervisor is filled by a Cayman Islands firm, Hamptons Limited.
The Gitcoin Foundation currently has rather boilerplate Articles of Association, which empower the DAO to vote to (among other powers reserved to the DAO):
<ul>
<li>Appoint or remove a director, member, or supervisor; and</li>
<li>Instruct the directors to wind up the foundation, and specify what charity or other foundation should receive the foundation’s assets.</li>
</ul>
Though not specified directly in the Articles, the DAO may also instruct the directors to take action on behalf of the Foundation - such as signing a contract, engaging a company for a service the DAO requires, or delegating some of the directors’ powers to a DAO working group (so long as a director is part of that workstream). The Articles of Association will likely be revised over the next 30 days to better match our intent to give the DAO nearly full control of the foundation.

<a name="the-substance-of-the-proposal-2" href="#the-substance-of-the-proposal-2"></a>The substance of the proposal:</h2>
With The Gitcoin Foundation established, I propose acquiring Gitcoin Holdings’ assets that serve public goods funding in a formalized way. The Gitcoin Foundation can host these philanthropic assets and ensure their independence from Gitcoin Holdings. Here is why this makes sense for our community and for Gitcoin Holdings:
<ol>
<li>Legal personality will help rather than undermine our decentralization – though we operate globally, we still need to be able to enter into contracts (for instance to host our Discord) and take ownership of our treasury and IP legally, and for these privileges to be recognized in the terraverse we need a legal face that’s familiar to other legal entities, jurisdictions and their courts. A legal structure over our assets will showcase that we coordinate and collaborate across the globe</li>
<li>We have global stakeholders – our contributors and our mission are global, which favors a neutral jurisdiction like the Cayman Islands (i.e., rather than a jurisdiction where any specific stakeholder contingent calls home)</li>
<li>We need flexibility - Cayman ownerless foundations look and feel like non-profit LLCs (as compared with more restrictive corporations), which favors an evolving DAO like ours - activities within the DAO (grants, workstream funding) are constantly evolving and will continue to do so with future pivots, mechanism design innovations to accelerate automated public goods funding, treasury management needs, impactDAO vision</li>
<li>We need a legal solution that is fit for purpose - our DAO’s mission is charitable and its legitimacy depends on credible neutrality, and a foundation structure serves these ends by minimally intervening with the will of our community</li>
<li>Our mission deserves tax efficiencies - the DAO’s mission is charitable and should therefore benefit from maximal tax efficiencies, and securing tax exemptions under IRC 501(c) are challenging in the United States, time-consuming and not ideal for a global group like ours</li>
</ol>
The Gitcoin Foundation would acquire various domains, code repositories (incl. Treasury smart contracts), trademarks, social media accounts as well as some seed capital. Gitcoin Holdings could perform services for our DAO that we determine are in our best interest according to our normal governance decisioning process but would otherwise be formally separate from ourselves. Gitcoin Holdings will continue to operate as an independent organization but by virtue of this vote, if passed, The Gitcoin Foundation will now be formally recognized as a separate entity that represents our DAO and philanthropic efforts we undertake.
Next Steps: All feedback and thoughts are welcome. Would love supporting the acquisition of the DAO Assets. Here is what immediate next steps would be:
<ol>
<li>A vote is proposed (once we hit the threshold set out in the Governance process) to adopt the Gitcoin Foundation as the legal owner of the DAO and its assets.</li>
<li>If the vote passes, the directors of The Gitcoin Foundation would begin discussions with Gitcoin Holdings Inc. with the goal of obtaining the philanthropic assets Gitcoin Holdings currently controls, for the long term benefit of the DAO and Foundation now having ownership</li>
<li>A second vote may be proposed with the final negotiated terms, but this proposal will entrust the Directors of The Gitcoin Foundation to fully negotiate this business transaction (while providing frequent updates to both Stewards, Workstream Leads and the community)</li>
</ol>
To be sure, there is no perfect legal structure. Although DAOs are a completely new frontier whose recognition varies across jurisdictions, this formalized structure will better protect our community assets and ability to use them to build public goods sustainably.

[Proposal] The Gitcoin Foundation - A proposal to represent the Gitcoin DAO IRL by a Cayman Islands Foundation

When the Gitcoin DAO launched over a year ago, we were right in the first third of a crypto bull run. Interest in crypto was growing again, and the value of outside capital was much lower than it is today. This has meant for Gitcoin, lots of unchecked growth and a DAO that has seen only the sweet smell of summer. We didn’t have much of a fall season, we went from summer to brutal winter with drawdowns of nearly 80% within a very short time period.
As a DAO, we’ve grown permissionlessly – not without approval from Stewards, but often without first-principled, intentional decision-making. Contributor counts have increased, workstream budgets have ballooned, and yet we have workstreams that continue to struggle to actually be effective at building towards our (newly defined) Essential Intents. With this rapid growth, we have amassed a myriad of folks who are not in the right roles.
In S14 we saw a constructive reorientation with FDD; FDD was able to focus on the two core tenets of their mandate (Grants Approvals and Sybil detection), with some support for Analytics.This change has made it more clear what FDD is doing that’s essential and where it belongs in the DAO, more to come below.
It is common to have <a href="https://www.builtinchicago.org/blog/how-much-should-software-startup-budget-development-and-operations">roughly 60% 6</a> of a <a href="https://about.crunchbase.com/blog/startup-product-spend/">tech startup’s costs 3</a> borne from development (engineering, product, design). The remaining 40% of the budget is in supporting functions. While the right breakdown for Gitcoin may vary somewhat from this archetype, we should at least be in this ballpark. Taking the 60% figure as a starting point, if we assume GPC is at a quarterly budget of $1MM, that means the rest of the DAO should fit into $670K a quarter. Moonshot Collective likely has half of their team also supporting protocol development (in Passport, and in partnership with Optimism)… perhaps we include another $200k from their budget in GPC (TBD on how best to do this).
One caveat to call out, we have a Grants program which delivers roughly $6MM in quarterly funding to the ecosystem and I want to ensure that stays intact. As a result, I could see us give some parts of PGF an immunity potion for this exercise. We also have a few roles that directly support the Grants execution function so perhaps they are immune - but not many.
Our burn as a DAO in S141 was <a href="https://docs.google.com/spreadsheets/d/1A4lmRXnPH2KxbY84GxlHTDdupELBr7oU9b3i_L9e_uM/edit#gid=0">$2.9M 2</a>, or ~$1M per month. This is about <a href="https://www.geekwire.com/2018/startups-spend-money-new-data-shows-burn-rates-differ-industry-region/">3x the burn of a typical US-based startup 2</a> – and those startups are typically generating early revenue, which Gitcoin is not. In addition, as a DAO whose capital structure is pretty much all in our (highly volatile) governance token today, we don’t have sufficient runway in case of a rainy day. It is <a href="https://medium.com/corl/how-long-is-your-startup-runway-6eed37962445">generally recommended 2</a> that startups have 12-18 months of runway on hand – today, the Gitcoin Timelock has no stablecoin-based runway to rely on whatsoever. We have line of sight to $5-10M with the Treasury Diversification efforts, which under today’s spending, would bring us to ~4-12 months of runway – still leaving the DAO in a precarious position in the event of a further downturn, even if we are able to execute on those efforts.
I can hear what you are thinking - “Kyle, this is insane, you are out for blood.” I don’t think I am out for blood, and in fact I am really focused on ensuring we operate as a healthy (decentralized and autonomous) organization. As we contract, we should take care of those who may not be with us during this next phase of our build cycle with severance and offer support in finding their next role. We should also honestly invite them to continue to be part of our community, and to help us grow funding for public goods.

I wanted to start to share my take on the state of the DAO. This style of presentation is often a presentation an executive team would give to a board of directors, but given the DAO <a href="https://gov.gitcoin.co/t/a-dao-has-no-ceo/9852">doesn’t have a CEO 4</a>, this could instead be for those who have a deep interest in Gitcoin or hold large amounts of GTC.

Gitcoin - State of the DAO - Sep 2022

I am really excited to pull back the curtain and share a bit more of how things are going at Gitcoin, walk you through the progress we are making, and also highlight where we have stumbled. The org wide overview is often necessary and confidence building, it offers us the ability to share how Gitcoin works, and we love that it open sources details for others to review.
There is certainly a trend to work in public at Gitcoin, but the <a href="https://www.youtube.com/@gitcointransparency">transparency YouTube channel 10</a>, the public <a href="https://docs.google.com/presentation/d/1WJseBI_raaBPhZFxTD-ProPvb9e9Ay-6vzWSERKmgmY/edit#slide=id.g1f6f9ac6411_0_51">DAO wide weekly updates 8</a>, the CSDO call notes, the <a href="https://www.notion.so/gitcoin/Gitcoin-Community-Hub-f3b76b0142c143ca928d087ea6dd2945?pvs=4">open Notion 6</a>, the continual discussion of great and meaty topics on the forums, <a href="https://gov.gitcoin.co/c/governance-proposals/5">the budgeting process 6</a> with with clear outcomes that each workstream is working towards may not be enough (or is arguably too much to wade through to sense make).

<a name="the-inspiration-1" href="#the-inspiration-1"></a>The Inspiration</h4>
Vitalik posted a really great <a href="https://itsa-global.medium.com/the-future-of-ethereum-the-merge-surge-verge-purge-and-splurge-e1b9d043709e">Roadmap 12</a> outlining where he/the EF felt the Ethereum network was going. This has really helped “bring along” the ecosystem to understand and plan their work for what is coming up next. I want to do something similar for Gitcoin, but I want to call out that we are still early in our lifecycle stage. Gitcoin’s v1 of the Allo Protocol is being audited as we speak, and our official v1 launch will be in April with our Grants round. So a hardened, modular, fully fleshed out, waterfall style Roadmap is not yet viable.
First a quick detour in our planning process and what we are focused on as an organization. This will help anchor why we are building the things we are.

<a name="defining-success-2" href="#defining-success-2"></a>Defining Success</h3>
Remember in June of last year, we <a href="https://gov.gitcoin.co/t/update-gitcoindaos-adopted-purpose-and-essential-intents/10984">defined our Purpose and Essential Intents 6</a> (EIs). EIs are 12-18mo goals and we are nearly 9mos into those intents. They are here:

At Eth Denver, we had an incredible opportunity to get together as a DAO, nearly 65 of us joined up for a couple days of coordination and meals. Ahead of the time, the CSDO met for a half day to cover some critical topics. As I have talked about before, Gitcoin recently aligned on its “<a href="https://gov.gitcoin.co/t/s17-musing-gitcoins-most-important-thing/12875">most important things 6</a>” - this has been a really strong focusing lens for how to allocate resources (projects, money, our time) towards the areas with the largest opportunity.

The goal of the CSDO session was to take these “most important things” and then go three steps further: 
1 - Define what success meant for these most important things 
2 - Define metrics for how we will measure success 
3 - Discuss how we might organize to make rapid progress towards those success metrics (more on that to come soon!)
Looking at Allo’s launch and success first: 
The launch and success of Allo is the DAO’s most important priority right now. Here is how we are thinking about success for Allo:

Gitcoin has magic numbers, and if you ask anyone at Gitcoin what 13 5 5​:crystal_ball: means, you should get the same answer. It’s where we’re focused and it’s what will have a tremendous impact to our success over the next 6mos.
The Gitcoin Grants Program - what we called “the Soul of Gitcoin” is second most important thing.
We started by defining the outcomes we care about, and then refined to just a couple key metrics:
<ul>
<li>Community funding more than matching pool funding</li>
<li>Grantee Quality improves each round (this is due to support for more information in the app, and also the sheer quality of project submitted).</li>
</ul>
The Soul of Gitcoin is thriving (because of our tremendous community!), and we will continue to be Public Goods Maxis here at Gitcoin. Moving the Grants rounds to the permissionless protocol is the only way we see us achieving the global impact we seek. To spread QF as broadly as we would like, we need to ensure there is a beacon of funding hope – our Grants Program will serve that goal.
The third most important focus area is Gitcoin Passport. Passport is near and dear to my heart given I am co-leading this workstream, but that is going to be changing soon as we just onboarded a new product lead for Passport. For Passport, success is really defined by a few keys areas today:
<ul>
<li>A Plurality of scoring mechanisms solving 80% of the use cases we encounter</li>
<li>The size and quality of the dataset is growing (and 100% of the dataset is decentralized)</li>
<li>The number of passport holders increases while the average number of stamps also increases.</li>
</ul>
I expect Passport’s key metrics to really start to shift towards attestations and reputation in addition tot eh already defined identity focused metrics, but we are a couple months away from that.

The success metrics for these three Most Important Things will only continue to improve over time as we really define success and put in the effort to hone our hypothesis and experiments. Here’s the <a href="https://docs.google.com/presentation/d/1EpvgJ_MuEV9VEpgWLr4eyzZRTdtY71cvSTpfaUylTuI/edit#slide=id.g1f4762706d4_0_61">deck CSDO used 7</a> to share the details at EthDenver with everyone - it’s not pretty. It was the first time, we had 6mo Org wide goals as a DAO. This idea that we would tolerate defecting over coordinating is quickly fading. Gitcoin is a coordination machine. We have stumbled in the past not unifying our work and making sure we were driving towards intentioned goals.

So let’s talk a little bit about how these metrics are translating to roadmap for Gitcoin.
Allo First

We have growing certainty over what the roadmap looks like for the next 3-6mos. We have details we plan to share on the next 6mos as part of the next budget cycle. The important item to call out is, we are laser focused on developing and launching a complete and permissionless, end to end, QF protocol. Communities will be able to spin up their own QF round (integrate Passport with that round!), and run grants rounds without any intervention from Gitcoin (I know!! Thanks!! you can hold the applause – dad joke). This will be live when we run our Grants round in April. 
We are working to accelerate development on our QV and Direct Grants functionality soon. We could use help in building and scoping these! Recall Gitcoin’s magic number of 13 5 5 - well over the next 6mos, we want to run 5 direct grants programs on the protocol. We need a dApp to do this 
Longer term, we continue to see opportunity for Allo to be the allocation protocol for the world. We are evaluating if moving into web2 (fiat on/off ramps) is the best place to spend time, or to pursue more web3 native avenues (think funding raising like JuiceBox or Mirror) with interoperability.
We know there is great value in a universal project registry, which is on chain and available to all to access, append, extend. We have some partners already working to improve the amount of information about projects that we will be sharing soon. If you have a use case for a project registry, we would love to chat with you! We are working increase the ways projects can showcase their reputation over the next 3 mos and will have more to share soon.
We will go deeper on Allo in another post soon. I wanted to seed some of the progress and focus areas, but don’t want to steal the team’s thunder for their budget request.

There have been lots of great topics posted lately on the future of the Gitcoin Grants program. The team is really flourishing and Gitcoin’s Soul is thriving, in large part because of the tremendous community we have and the support each of you continues to offer Public Goods are Good.

<a href="https://go.gitcoin.co/passport">Passport</a> is an identity and reputation aggregator really going through an explosion of adoption given the dramatic <a href="https://crypto.news/arbitrum-airdrop-marred-by-sybil-attacks/">Sybil attacks</a> we have witnessed. But Passport is much more than just “Sybil Defense.” Over the next 3-6mos we will be brining Passport onchain with <a href="https://attest.sh/">Attestations 1</a> – and we want to Attest everything! The current Roadmap, as defined during our Time in EthDenver <a href="https://docs.google.com/document/d/1LcO2idymm1atHFbiDHzpVzh0sJiN-ezPRFAg7Qe1CWk/edit#heading=h.v3pfv9m30j0w">is here 1</a>. We expect there to be changes as we prioritize partner opportunities and new technology, but it should offer some details on where we are going.
If you want to help accelerate our roadmap, let us know! We have some budget available for Bounties and I would love to see us make progress on onchain attestations faster, additional scoring mechanisms, etc. Passport is going to quickly transition to the default identity solution to the default reputation and identity solution. More to come during out budget as well.

Okay, so not as elegant of a roadmap as the splurge, purge, merge, etc. But this is because we are still much earlier in our lifecycle. For our Season 18 budgets, I am going to work on getting something with a slightly longer time horizon for us to then encourage lots of collaboration.
One thing that was slipped in (in the Allo Roadmap Screenshot) but that I want to be explicit about - Gitcoin will be focusing on our value capture and token utility over the next 6mos. We don’t ever want to be extractive – we do want to sustain our mission and ensure we have decades of life ahead and more utility for GTC holders. You can expect some juicy details soon on where we see adding value that also introduces new token utility.
Finally, if you are interested in partnering, helping us accelerate our roadmap, or generally have encouraging feedback, we would love to hear it. I know this organization is hyper focused on Launching Allo and making sure it is successful, Growing the impact of the Grants program aka, our soul, and growing Gitcoin Passport, and its ability to offer legitimacy to outcomes.
