<a name="an-dao-expense-policy-1" href="#an-dao-expense-policy-1"></a>AN DAO Expense Policy</h1>
This expense policy outlines the policy and procedure for what is in scope for business reimbursement and what is not. An expense policy for a growing organization is essential to ensure fairness and cost control across the organization. This policy defines “Business-related expenses”, we therefore outline what can be expensed and set a procedure to authorize expenditure.
This policy aims to provide clarity to guilds on expenses.This document is intended for all at the DAO and should be considered the one source of truth when looking to gain reimbursement for expenses.
An expense budget will be requested per guild in the funding proposal
General expectations of contributors and guild leads:

An expense should:

Finance Squad tries to keep the policy as simple as possible and prefers optimistic approval. In addition, the aim is to evolve this policy over time and therefore necessary changes will be made. This policy is intended to provide a framework for all contributors at Aragon DAO and this should be seen as an employment benefit.
As this list is at the moment not exhaustive, please ask the Finance squad for clarification about reimbursable expenses. Finance squad retains the right to refuse an expense should it be deemed out of policy.
If you are not sure whether an expense is reimbursable, always check with your Guild lead &amp; the Finance Squad before you make the expense.

The expense budget will be a fixed budget that is requested by the guild in the season proposal. In case the approved budget needs to be exceeded, a new proposal needs to be made, which requires reasoning and approval.

Finance Squad Proposal
Proposal Summary
The proposal is a request to Executive Sub DAO to fund $42,000.00 for Season 1 (April 1st - July 31st) for forming and running the Finance Squad. During Season 0 the base has been built with the principle of paying on time and the beginning of research on a more efficient way of distributing value to the DAO as a whole, this has been done through research Coordinape, yield farming , and Gnosis safes. It has allowed efficient payment of holders in single transactions. The next step of this squad is taking the identified focus points in practice / to the next level, including seeding squads focused on Yield management, token economics and accounting.
DAO Finance Guild
During Season 0 we attracted a number of talented individuals to join Aragon and work on bounties around Core Operations. The finance guild will follow the proposal set out below for reward distribution.

Core Contributor(s) – Someone who will take on a first POC within the squad. The person in core contributor role will have the ability to play activating roles within the squads.</li>
<li>
Pool: A reward pool to be allocated via coordinape for the completion of important and ongoing tasks</li>
<li>
Bounties: A pre-defined allocation towards currently undefined bounties that will allow ops to be nimble and attract talent or fund action that supports effective operations of the AN DAO</li>
</ul>
Proposal Rationale:
Today we fund individual projects or working groups, which pushes significant operational and financial overhead to these teams and the executive sub DAO to organize payments. Moving into S1 we seek to create and empower and well-staffed Finance Guild to drive the operational efficiency for our community working groups and enable teams to focus on deliverables and free up the ESDs time to work on funding proposals.
The finance guild identifies the following hick-ups:
<ul>
<li>No clear structure (repeating date) when teams have to provide their monthly reports with KPIs and proposed payments (will provide a streamlined format for this)</li>
<li>No clear structure (fixed amount of time) for the ESD and Treasury squad to process the received reports</li>
<li>No clear structure (repeating date) for the contributors when to expect their payments</li>
<li>No clear structure on the payment distribution and calculations of ANT</li>
<li>Inefficient payment and transaction signing process</li>
</ul>
Expected duration or delivery date (if applicable):
This funding request is for Season 1 of the AN DAO. This will run from 1 April to 31 July.
Deliverables/Milestones (re-designing the payment process)
In order to achieve a decent payment process we will propose a resolution of each aforementioned hick-up in the paragraphs below:
A clear structure on monthly reporting 
In order to provide structure in monthly reporting, we would like to propose a fixed repeating date for every squad / guild to to propose their KPIs and Payments. Squad / Guild leaders should monitor their KPIs and proposed payments continuously and share the results of a particular month, early in the following month. We propose that the 4th of each month as a fixed date for squad / guild leaders to provide their monthly report.
A clear structure on assessing reports and preparing transactions 
The ESD is in charge of capturing the (amount of) imbursements of each month for each squad / guild. After receiving the monthly reports from each squad / guild, including proposed payments and substantiation (e.g. this is what we have done, these are our goals in the form of KPIs), the ESD assesses the request. After assessing, the ESD can accept, adjust or decline the requested payments and will communicate this with the stakeholders (the particular squad / guild &amp; treasury team).
We propose that the ESD fixed time period to assess the monthly reports and instruct the treasury team, namely the 5th till the 11th of each month.
After receiving instructions from the ESD, the treasury squad will compile all payments that are approved and will prepare the transaction. We propose that the Treasury squad has a fixed time period for this, namely the 12th till the 14th of each month.
A fixed monthly pay day 
As AN DAO is moving towards monthly payment cycles for their contributors, we would like to propose the 15th of each month as a fixed pay day.
A fixed payment distribution and ANT price calculation 
As proposed in Season 0 we would like to implement a fixed payment distribution and ANT price calculation for Season 1, which is a 70%USDC / 30%ANT ratio. As the ANT price is volatile, we would like to provide clarity on the imbursement calculation. We propose a fixed calculation date and method, namely a 14-day average of ANT on the 4th of each month (for the ANT imbursements of that particular month).
An efficient payment and signing process 
Aiming for a more efficient payment process, we would like to propose for Season 1 that the ESD holds the requested funds on a multi-sig escrow instead of Aragon Govern. We would like to change the three step process into a two step process, where the Main DAO directly send their funds towards the ESD multi-sig.
The signing process will change as well in that regard, as we propose a 3 out of 5 approval multi-sig for the ESD. The signers would be Ivan (ESD), Renee (ESD), Daniel (ESD), Alex (Treasury) and Rick (Treasury). In this regard the ESD still has “a veto” but we can experiment if this increases efficiency.
Summary 
24th till 30/31th → slot for guild leaders to compose their reports and share with ESD + Finance guild
1st till 11th → ESD assessing the squad / guild reports and instructing the treasury squad
4th → the 14 day average of the ANT payment will be calculated
12th till 14th → Finance guild compiles all payments and prepares the transaction
15th → ESD signs the transaction and contributors are payed

<li>1 July, Initiate the necessary change in the Charter, to increase efficiency in the payment process</li>
<li>15th of August (after last payment cycle), deliver an overarching AN DAO S1 Finacne Report, which provides an overview of the financial status of AN DAO, a look back on S1 and an outlook to S2 (will be rated by the community and aim for 8/10)</li>

Strategic Alignment
Finance is seen listed as a priority for the Executive Sub DAO to support the development of financial transparency. DAO Ops will support financial transparency, operational finance as well as undertaking research to provide advice on productivity of treasury such as yield on unallocated funding. Finance is not expected to be the experts on yield management on day one but can effectively facilitate and support experts to make proposals that deliver on financial priorities
Some additional key points of alignment for the coming months:

Team Information
<ul>

Core Contributor: ricktik6#0196 (Full time 40-45 Hours) - Rick was the treasury and accounting bounty holder during season 0 and worked closely with Alex. He functioned as a POC on the payments for the bounty holders. In addition, he helped identifying improvements such as payment mechanisms (e.g. coordinape), how to optimize the treasury (e.g. yield farming and creating more transparency), and payment infrastructures (e.g. Gnosis safes, DeWork, and Polygon chain). He is motivated to take these improvements to the next level in Season 1.</li>
<li>Anukriti acted as an Ops Coordinator during Season 0 and worked closely with all contributors to capture their needs along with identifying the KPIs and making sure any blockers were removed. She also did a proof of concept of DeWork along with MDLawyer and Spectra. She is also working on a DAO Governance Hub project funded by Metagov and DAO Research Collective. Aragon and PrimeDAO core contributors propose for voting to their respective tokenholder communities a strategic token swap. PrimeDAO is a collective that enables DAO2DAO coordination by building tools that turn DeFi into a cooperative game. This proposal is initiated as we acknowledge a strategic product and governance fit. The current DAO2DAO tools have valuable functionalities, such as decentralized token offering and token swaps, that align as an extension of Aragon’s future product. With this proposed token swap, both parties are able to converge their products and goals by actively participating in each other’s governance.
Both parties propose a swap of $50k in ANT to $50k in D2D.

<a name="proposal-description-3" href="#proposal-description-3"></a>Proposal description</h2>
This proposal contains a strategic token swap between Aragon and PrimeDAO, of $50k in ANT to $50k in D2D.
PrimeDAO is a DAO builder collective focused on enabling DAO-to-DAO coordination. Launched in 2020, PrimeDAO has built a synergistic product suite that provides value to DAOs through their entire lifecycle, from project review and support to a token launchpad and DAO Dealmaking platform. PrimeDAO has strategic partnerships with different DAOs and completed token swaps with Balancer, Celo, Gitcoin, OlympusDAO, and more.
The current product overview of PrimeDAO is threefold, namely:

<a href="https://launch.prime.xyz/">Prime Launch 2</a>:A decentralized token launch platform that allows DAOs to host a fixed-price launch (Seed) or liquid launch (LBP) effectively with support from a network of service DAOs and potential backers</li>
<li>
<a href="https://deals.prime.xyz/deals">Prime Deals 2</a>: Makes web3 partnerships simple, through an interface for DAO2DAO interactions, such as joint ventures and token swaps</li>
<li>
<a href="https://www.prime.xyz/rating-defi">Prime Rating 1</a>: A public good in the form of a permissionless framework that quantifies web3 project quality, and therefore provide transparency in the DeFi space</li>
</ul>
In parallel to the swap, the two teams will do a soft-integration. It will take the form of a detailed how-to guide that explains the potential joined use of Aragon Client and Prime Launch.
As PrimeDAO is actively monetising some of its products, a potential future deeper integrations will likely include a revenue share element accruing some of the captured value into Aragon.
<h2>
<a name="proposal-rationale-4" href="#proposal-rationale-4"></a>Proposal rationale</h2>
Prime DAO is a prominent name in the DAO ecosystem and would be a powerful ally in terms of a team with a proven track record of creating DAO tools that are both conceptually sound and provably useful.
Aragon is focusing on building smart contract infrastructure for on-chain permission management systems. Ultimately this infrastructure should be connected/extended by tools that enable DAOs to interact with external agents or assets. Connecting to functional modules and products such as the aforementioned ones developed by Prime DAO, is an essential element of scaling Aragon’s value proposition.
By plugging into Aragon’s ecosystem, PrimeDAO will benefit from Aragon’s wider reach and offer its modules to DAOs that might otherwise be unaware of its value propositions.
This proposal enables a stake in each other’s DAO, and therefore the two projects will have both the incentives and the means (through governance participation) to synchronize product evolution and coordinate better while they decentralize.
<h2>
<a name="risks-limitations-5" href="#risks-limitations-5"></a>Risks &amp; Limitations</h2>
The current <a href="https://boardroom.io/primedao/treasuryOverview">treasury of PrimeDAO 1</a> has an estimated <a href="https://forum.prime.xyz/t/2022-prime-reflections/222">runway of 12 months 1</a>. The risk of running out of runway could lead to product development being slowed down or stopped completely. While the technology is open-source and could be leveraged by Aragon and other DAOs even without the PrimeDAO organization being operational, there is merit in having it well-resourced so it can continue to iterate on the technology and provide its services. PrimeDAO is mitigating the runway risk by monetizing its tools, namely, a product fee on Launch (~1.5% per launch) and Deals (~0.3% per Deal).
Additionally, there is a possibility that PrimeDAO and Aragon products are technically infeasible to integrate, and ergo incompatible. However, close collaboration between both projects should mitigate this risk. Aragon’s new product is lean and flexible, designed in its essence to allow and encourage integration of products benefitting the entire DAO ecosystem - Prime’s products are a great example of that. As such, the incompatibility risk is low, especially as both parties have intentions of working together and look for ways to ensure product integrations.

Luuk Weber, an experienced DAO strategist, and Treasury manager. Leads Strategy for PrimeDAO and runs Kolektivo Labs, a Web 3.0 Venture Studio with 15+ contributors. Before co-founding PrimeDAO, Luuk ran a DeFi Fund from the Amsterdam stock exchange and spent some time contributing to <a href="https://twitter.com/Balancer">BalancerDAO 
</a> 
Alp Ergin, the current Ops and Partnership Lead of PrimeDAO with a background in Impact Start-ups and Investment Banking. Alp carries loads of experience from his time in the core of Gitcoin and has also started multiple initiatives including Co-founding <a href="https://github.com/compassd/dcompass">dCompass</a> and <a href="https://twitter.com/inverternetwork">Inverter Network.</a>

Both parties propose a token swap of $50k in ANT to $50k in D2D.
The amounts of ANT and D2D tokens correspond to the $50k value and will be calculated based on a 7-day backward looking TWAP (time weighted average price) taken at the time this vote is published to the respective voting infrastructure of each of the two communities.
The following terms are proposed for the strategic token swap:

<li>6 month, soft lock-up period (token lock-up not enforced on-chain but on social level)</li>
<li>Due to the soft lock, full voting power will be granted immediately upon closing of the sale</li>
